FRANCHISE DETAILS

1. This agreement mandates exclusive use of the NSKD brand for all franchise operations, ensuring brand consistency and integrity.

2. Misuse of the NSKD name is prohibited, with legal consequences for violations to safeguard our brand’s integrity.

3. Franchisees must secure and equip an office space for 30 students, including chairs, tables, lighting, and a projector, at their own expense, adhering to NSKD’s quality standards.

4. This NSKD franchise comes without a registration fee and includes an option for biennial renewal, facilitating sustained business growth.

5. Franchisees are bound to a minimum two-year commitment with NSKD, with no option for early termination, to ensure brand consistency and commitment.

6. Exiting franchisees must submit a formal resignation to NSKD 3 months in advance, facilitating a smooth transition.

7. NSKD head office supplies all design plans to ensure brand consistency across franchises.

8. NSKD franchises in the IPR sector are bound by strict confidentiality to protect sensitive information and maintain brand integrity.

9. Franchisees must pay a portion of service charges to NSKD and contact them for any clarifications or support needed.

10. IPR sector interviews and selections are exclusively conducted by NSKD to ensure high standards of expertise and quality.

11. Franchisees must fairly distribute TADA benefits to staff, as stipulated by NSKD policies, ensuring staff support and satisfaction.

12. Any issues between NSKD and franchisees are to be resolved collaboratively through scheduled meetings.

13. NSKD franchises must be located in educationally vibrant areas and equipped with comprehensive facilities for optimal operation.

14. NSKD dictates the fee structure for academy courses, ensuring transparent and consistent pricing across franchises.

15. NSKD ensures the provision of qualified training staff and essential services to support franchise operations.

16. Franchisees keep 60% of profits with TADA, while 40% is remitted to NSKD as commission, aligning incentives with brand support.

17. Franchisees are obligated to contribute 40% of their monthly earnings to NSKD, fostering mutual growth and brand support.

18. Before adding new courses, franchisees must secure approval from NSKD to ensure alignment with brand standards and quality.

19. Franchisees should get admissions with the support and resources provided by NSKD, ensuring collaborative success.

20. Franchisees will receive course materials from NSKD and collect fees from students without these transactions being commission-based.

• Confidentiality: You acknowledge and agree that the patent titles and any other information related to our patents are confidential and proprietary to us. You agree to keep this information confidential and not to disclose or share this information with any third parties.
• Non-Disclosure: You agree not to use, copy, reproduce, distribute, or disclose any patent titles or related information to any third parties.
• Intellectual Property Rights: You acknowledge and agree that all patent titles and related information are our exclusive property, and any unauthorized use or disclosure of such information may infringe our intellectual property rights.
• Breach and Remedies: You agree that any breach of these terms and conditions may cause us irreparable harm, and we may seek injunctive relief and other remedies without the need to post a bond or prove actual damages. You also agree to indemnify and hold us harmless from any damages, losses, or expenses arising out of any unauthorized use or disclosure of patent titles or related information by you.

Note: Any usage or accessing of the titles, concepts, or novel methodologies, or similar either as one’s own or sharing with a third party, found on the patent website or any other sources, will be considered a violation of the above terms and conditions, and legal action may be taken accordingly.
